The invoice amounts can be offset against one another. On offset of the whole amount, there will be no monetary transfer. In the event that complete offset is not possible, the remaining amount is to be balanced by bank transfer, whereby the order number must in all cases be quoted.

An offsetting does not take place, if the cooperation partner of the HMC not or partially not met its obligations under the contract. In this case, the cooperation partner loses his right on remuneration or in the event of partial non-performance, he loses his right to the remuneration in the amount of the unperformed services.

Delivery address media cooperation agreement

  1. The Cooperation Partner shall be liable to HMC for any damage caused by the Cooperation Partner, its vicarious agents, auxiliaries or any third parties employed by it. This liability covers all obligations assumed on concluding this Contract. This liability includes incidents where the Partner cannot be held responsible for culpable behaviour when selecting its vicarious agents. The Partner shall indemnify HMC against all claims asserted in connection with the fulfilment of the Contract except in cases where HMC is at fault.
  2. The Cooperation Partners shall grant each other a simple, global right to use each other’s company or trade name and/or business name / the title XX, as well as their company logos. This right of use shall be granted to the Cooperation Partners for the term and/or within the scope of this Contract, in particular for advertising and public relations purposes in connection with the Event. Such rights of use shall be deemed compensated in full upon performance of the of the obligations arising from this Cooperation Contract.
  3. Each Cooperation Partner shall ensure that no liability or joint liability for any infringement (e.g. under trademark, intellectual property or competition law) will arise to the detriment of the respective other Cooperation Partner as a consequence of establishing hyperlinks. The Cooperation Partner holding or operating the relevant domain shall indemnify the other Cooperation Partner against any such liability.
  4. All costs incurred outside the scope of this Contract shall be borne by the Cooperation Partner that incurred them.
  5. Should the Cooperation Partner fail to render a contractually agreed service as stipulated in this Contract, HMC may set an appropriate deadline by which the service must be properly rendered. If this deadline expires with no result, HMC may provide the service itself or engage third parties to render part or all of the service, and claim damages from the Partner. No other contractual and statutory claims of HMC’s shall be affected. The dispensability of deadlines shall be subject to applicable law.
  6. a) Should the Event be cancelled entirely or in part on grounds for which HMC is not responsible, especially on compelling grounds such as Force Majeure, both Parties shall be relieved of their payment and performance obligations; in particular, the Partner shall not be entitled to make any claim to remuneration. In this case the Party which already has received and/or will receive any services and benefits despite the cancellation of the event shall reimburse the other Party for such services and benefits. This shall be contemplated especially, but not exclusively, whenever an event had to be cancelled on short notice and one Party profits from the performance of the other Party. Any claims, whether for damages or otherwise, by the Cooperation Partner in the event of non-execution of the event shall be excluded.
    b) In particular, Force Majeure shall be deemed to have occurred if such compelling circumstances are outside the reasonable influence of HMC. For example, events such as war, civil war, armed conflict, acts of terrorism, political unrest and/or the use of chemical, biological, or biochemical substances or nuclear energy shall be deemed to constitute Force Majeure. Furthermore, Force Majeure shall include pandemics, epidemics, rampant infectious diseases or similar public health threats and/or violent acts of nature (storms, cyclones, earthquakes, floods etc.) and the consequences thereof. In particular, Force Majeure shall include prevention of the execution of any event by acts of government that are outside of HMC’s reasonable influence, such as intervention by any federal, state, local or other public authority, including but not limited to decrees, directives, general orders etc. These events shall expressly include the development of the COVID-19 pandemic, regardless of whether this development may have been known or predictable. Compelling circumstances, and in particular, Force Majeure shall be deemed to exist not only upon the occurrence of any such event but also whenever such an event can be expected to occur with reasonable probability at the time of the Event. The decision whether any such event has occurred or is imminent shall be made according to the reasonably exercised discretion of HCM with due consideration of the interests of its business partners.
  7. The Contract shall terminate without notice on complete fulfilment of all obligations arising from this Contract, except where such obligations are explicitly applicable beyond the termination of the Contract. The rights of termination of both parties for good cause shall remain unaffected. Notice of termination must be given in writing. Good cause shall include, without limitation: The Cooperation Partner’s non-performance of a material obligation under this Contract even after expiry of a grace period granted to remedy the Cooperation Partner's original default; non-execution of the event; or evidence of the Cooperation Partner’s imminent insolvency.
  8. The Cooperation Partners agree to treat as confidential all information they receive in the course of their cooperation and with regard to each other, and to refrain from disclosing such information, even after expiry of the Contract. The Cooperation Partner agrees to process personal data transferred and/or become known to it only within the scope of this contract and in compliance with the General Data Protection Regulation (GDPR), the Federal Data Protection Act (BSDG) or other applicable data protection regulations.

  10. No oral supplements to this Agreement exist. Any amendments or additions to this Contract, or its rescission, whether entirely or in part, shall be invalid unless made in writing. The same shall apply to any waiver of this requirement of the written form.
  11. This Contract shall be governed exclusively by German law, excluding private international law, the United Nations Convention on Contracts for the International Sale of Goods, and the German conflict of laws provisions. The Court of Jurisdiction for all claims arising from this Contract shall be Hamburg (-Mitte).
